General Terms and Conditions of Sale (GTCS/TOS)

1. Purpose
These General Terms govern the use of the SaaS platform DANAIDES (hereinafter the "Service"), which provides AI-based conversational agents for task automation (emails, calendars, messaging).
2. Access, Pricing and Payment
Access requires an account and a subscription or signed quote.
- Pricing: Expressed in Swiss Francs (CHF). No VA (Small Business Exemption). Quote validity: 30 days.
- Payment Terms:
- 50% upon order (deposit).
- 50% upon delivery / go-live.
- Payment via Bank Transfer or Stripe.
- Payment deadline: 30 days net.
3. Refund and Cancellation Policy
- Right of Withdrawal: 14 days after subscription.
- Early Termination: In case of termination by the client, amounts already paid (specifically the 50% deposit) are retained by DANAIDES to cover costs and work already performed.
- Default: DANAIDES reserves the right to terminate in case of non-payment.
4. Liability and AI Disclaimer
Nature of AI: The Service uses generative Artificial Intelligence models. While powerful, these models may occasionally produce errors, "hallucinations," or inaccurate information.
Limitation of Liability:
- The user is solely responsible for the final validation of generated content (sent emails, WhatsApp responses).
- DANAIDES cannot be held liable for direct or indirect consequences related to misinterpretation or automated AI actions.
- The Service is provided "as is". We aim for 99.9% availability (SLA) but do not guarantee total absence of interruption.
5. Intellectual Property
- Platform: DANAIDES remains the exclusive owner of all rights to the software, design, and source code.
- Client Data: You remain the sole owner of your data and the content generated by the AI on your behalf.
6. Fair Use
It is forbidden to use the Service to:
- Generate spam or illicit, hateful, or fraudulent content.
- Attempt to reverse engineer our platform.
Any abuse will result in immediate account suspension without refund.
7. Governing Law and Jurisdiction
These terms are governed by Swiss law.
Jurisdiction: Any dispute shall be subject to the exclusive jurisdiction of the courts of Lausanne (Vaud, Switzerland).
